1. Agreement to these terms
These Terms of Service (“Terms”) are an agreement between you and Aventrix Digital (“we”, “us”) for your use of Aventrix Connect and the website at connect.aventrixdigital.com (together, the “Service”).
By creating an account, accepting an invitation or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for a company, you confirm that you are authorised to bind that company, and “you” means that company.
2. The Service
The Service lets businesses manage contacts, design WhatsApp message templates, send individual and bulk WhatsApp messages, handle replies in a shared inbox and view delivery analytics, using the official WhatsApp Business Platform (Cloud API) provided by Meta. We may improve, change or discontinue features from time to time; we will give reasonable notice before removing a feature you rely on.
3. Accounts and workspaces
- Each customer has a workspace. Workspace administrators invite team members and control what they can see and do.
- You must give accurate information and keep your sign-in details confidential. You are responsible for everything that happens under your account.
- Tell us straight away at info@aventrixdigital.com if you suspect unauthorised access.
- You must be at least 18 years old and able to form a binding contract to use the Service.
4. WhatsApp Business Platform
To send messages you connect your own WhatsApp Business Account. You authorise us to access it and act on your behalf through Meta’s APIs, and you agree to:
- comply with the WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy, WhatsApp Commerce Policy and Meta Platform Terms;
- message only people who have given you the opt-in consent WhatsApp and applicable law require, and honour every opt-out request promptly;
- use only templates that Meta has approved for business-initiated messages;
- keep your business information on WhatsApp accurate.
Meta may review, restrict, limit or disable your WhatsApp Business Account or phone numbers independently of us. We are not responsible for Meta’s decisions, outages, pricing or policy changes, but we will pass on the information Meta gives us.
5. Acceptable use
You must not use the Service to:
- send spam, unsolicited bulk messages, or messages to purchased, rented or scraped contact lists;
- send unlawful, fraudulent, deceptive, harassing, hateful, sexually explicit or violent content, or content that infringes anyone’s rights;
- promote goods or services that WhatsApp’s Commerce Policy prohibits;
- collect sensitive data such as full payment card numbers, passwords or government ID numbers over WhatsApp;
- impersonate any person or business, or misrepresent who you are;
- upload malware, probe or attack the Service, bypass its limits or access controls, or overload its infrastructure;
- resell or sublicense the Service without our written agreement.
We may remove content or suspend messaging that we reasonably believe breaks these rules.
6. Your data
You own the contacts, messages, templates, media and other content you put into the Service (“Customer Content”). You give us permission to host, process and transmit it only as needed to provide, secure and support the Service. You are responsible for having the rights and consents needed to upload Customer Content and to message your contacts.
We process personal data as described in our Privacy Policy. You can export your data while your account is active and ask us to delete it at any time, as explained on our Data deletion page.
7. Credits, fees and payment
- The Service runs on prepaid credits. Messages, contact imports and plan fees use credits at the rates shown in your workspace.
- Message prices follow Meta’s WhatsApp rate card for the recipient’s country and message category, and may change when Meta changes its prices.
- Messages that are delivered are charged even if the recipient never reads them. Usage can briefly take your balance below zero; that amount is deducted from your next top-up.
- Sending pauses automatically when your balance runs out and resumes after you top up.
- Credits are not cash, cannot be transferred between workspaces and are refundable only where the law requires or we agree in writing.
- Prices exclude taxes unless stated; you are responsible for applicable taxes.
8. Our intellectual property
We own the Service, its software, design and documentation. We give you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. You must not copy, modify, reverse engineer or create derivative works of the Service except where the law allows it. If you send us feedback, we may use it without obligation to you. WhatsApp and Meta are trademarks of Meta Platforms, Inc.; the Service is not affiliated with or endorsed by Meta.
9. Suspension and termination
You may stop using the Service and close your workspace at any time. We may suspend or terminate your access, with notice where reasonable, if you breach these Terms, fail to pay, create a risk to the Service, other users or Meta’s platform, or if the law or Meta requires it.
When an account closes we delete Customer Content as described in our Privacy Policy. Sections that by their nature should survive (fees owed, intellectual property, disclaimers, liability limits and indemnity) survive termination.
10. Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that messages will be delivered, read or answered, that the Service will be uninterrupted or error-free, or that Meta will approve your account, phone numbers or templates.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify Aventrix Digital against claims, fines and costs arising from your Customer Content, your messages, your breach of these Terms or of WhatsApp or Meta policies, or your violation of anyone’s rights or of applicable law, including anti-spam and data protection law.
13. Changes to these terms
We may update these Terms. We will change the “Last updated” date and, for material changes, notify workspace administrators at least 14 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the country where Aventrix Digital is registered, without regard to conflict-of-law rules, and its courts have exclusive jurisdiction, unless the mandatory law of your country gives you the right to bring a claim locally. We will always try to resolve a dispute informally first, so please contact us before starting any formal proceedings.
